DRAFT November 11, 2004 <br />(d) Grantee shall not attempt to sell, lease, exchange or <br />otherwise dispose of the real and personal property <br />identified in Exhibit B (hereafter "Assets"). Upon <br />termination of this Franchise or the dissolution of <br />the Grantee pursuant to N.C. Gen. Stat. ~ 55A-14-1, et <br />seq., the Assets shall be either: (a) distributed to <br />one or more appropriate receiving successor <br />Franchisee(s) that will carry on, in Orange County, <br />the functions of ambulance, first responder, rescue or <br />other related emergency services meeting one or more <br />exempt purposes within the meaning of 501(c)(3) of the <br />Internal Revenue Code (or the corresponding section of <br />any future federal tax code) or (b) distributed to the <br />Grantor for the foregoing public purposes, <br />Section 17. Forum for Litigation <br />Any litigation between the Grantor and Grantee arising <br />under or regarding the Franchise shall occur, if in the <br />North Carolina courts, in Orange County Superior Court or <br />District Court having jurisdiction thereof, of it in the <br />federal courts, in the United States District Court for the <br />Middle District of North Carolina. <br />Section 18.
