Mr. John Roberts <br /> January 24, 2019 <br /> Page 4 <br /> 9. Billing. The Firm will bill the Client on a monthly basis and will expect to be paid <br /> within 30 days of the date of the invoice. The Firm reserves the right to charge interest at the <br /> rate of 1.5% per month for balances that remain outstanding for more than 30 days. You <br /> understand that failure to pay the Firm's invoices is an agreed upon ground for termination of <br /> the Firm's representation of the Client. <br /> 10. Conclusion or Termination of the Engagement. The Client has the right to terminate <br /> the Firm's representation at any time for any reason upon written notice to the Firm. Likewise, <br /> the Firm has the same right subject to the Rules of Professional Conduct. If our representation <br /> of the Client is terminated before completion of the Engagement, the Client agrees to take all <br /> steps necessary to free us of any obligation to perform further services, including promptly <br /> executing any documents necessary to enable the Firm to withdraw from the representation. <br /> The Firm will be entitled to payment for services rendered and expenses incurred prior to the <br /> date of termination, and thereafter, to the extent required to accomplish the smooth transition <br /> of the Client's files. After the Firm's services conclude, the Firm will, upon your written <br /> request, deliver the Client's files to the Client, along with any funds or property of the Client in <br /> the Firm's possession (subject to the payment of any unpaid fees and expenses owed to the <br /> Firm including the expenses incurred in delivering the Client's files, funds and property). You <br /> hereby authorize the Firm to make a copy of the Client's files and to retain the files for as long <br /> as the Firm chooses. In the event the Client does not request delivery of the files, the Firm <br /> shall retain the Client's file for 7 years. After the passage of not less than 7 years following the <br /> termination of the Engagement, the Firm shall have the right to destroy the Client's files in <br /> accordance with the Firm's document, retention and destruction policy. <br /> 11. Future Obligations. Unless the Firm is engaged to provide additional legal services or <br /> we otherwise agree in writing, the Firm's attorney-client relationship with the Client will <br /> terminate upon the earlier of (i) the completion of the services specified in this Engagement <br /> Letter; (ii) written notice to the Client or from the Client of the Firm's termination, or (iii) the <br /> passage of a reasonable period of time without a request from the Client to perform legal <br /> services. Once terminated, the attorney-client relationship can only be re-established by <br /> written correspondence acknowledged by both the Firm and the Client confirming the re- <br /> engagement of representation under the terms set forth in this Engagement Letter or the <br /> execution by the Firm and countersignature by the Client of a new Engagement Letter. Once <br /> representation is over, the Firm has no continuing duty to notify the Client of changes in the <br /> law or to advise the Client of any filing obligations that may arise. Although the Firm may <br /> periodically inform the Client of developments in the law or remind You about filing <br /> obligations, doing so does not re-establish an attorney-client relationship that has ended. <br /> NPPAL1:1157212.2 <br />
