This document is the Operations Agreement between Orange County ("County") and the South Orange <br /> Rescue Squad, Inc., a North Carolina Non-Profit Corporation("SORS")as provided in the South Orange <br /> Rescue Squad Franchise Ordinance ("Franchise Ordinance"), granting a non-exclusive Franchise <br /> ("hereafter Franchise") by Ordinance to SORS to operate Emergency Medical Services and Rescue <br /> Services in Orange County,North Carolina. <br /> WITNESSETH <br /> WHEREAS, Franchise Ordinance authorized SORS to operate Emergency Medical and <br /> Rescue Services;and <br /> WHEREAS, the Franchise Ordinance provides that the subcategories under which SORS can <br /> operate be identified in an "Operations Agreement" to be entered into by SORS and the County within <br /> 90 days after acceptance of the Franchise permit; and <br /> WHERAS, the Operations Agreement provides both administrative and operational guideline <br /> supported by Standard Operational Guidelines (SOGs), and along with the Franchise Ordinance, <br /> authorizes SORS to operate as an Emergency Medical and Rescue Services Franchise in Orange County <br /> under the authority of the Board of County Commissioners and at the direction of the Orange County <br /> Emergency Services Director; and <br /> WHEREAS, the Operations Agreement shall delineate responsibilities and expectations of both <br /> the County and SORS in order to ensure safe,effective and consistent operations; <br /> NOW THEREFORE, for the purposes and subject to the terms and conditions hereinafter set <br /> forth,the County and SORS do hereby agree to this Operations Agreement as follows: <br /> 1. Tenn: The Term of this Operations Agreement shall be August 1, 2012 through July 3 1, <br /> 2013 and shall be reviewed on an annual basis on or about May I't until the expiration of the <br /> 2. Services: This Operation Agreement authorizes SORS,to provide the following services: <br /> a. Emergency Services <br /> i. BLS Transport Services <br /> 1. Special Event and Ambulance Services <br /> 2. Surge Emergency Medical Services and Ambulance Services <br /> ii. EMS Non-Transport <br /> b. Technical Rescue Services <br /> i. High Angle <br /> ii. Swiftwater Rescue <br /> iii. Confined Space Rescue <br /> 3. Administrative Services. <br /> a. The Director of Emergency Services and his designees shall manage this guideline <br /> and will cause upgrades and changes when deemed necessary. This operating <br /> guideline and subsequent updates are necessary to ensure the safety and <br /> welfare of all personnel, efficient delivery of services and compliance with all <br /> requirements as established. <br /> Page 2 of 6 <br />
