for submittal to the North Carolina Clean Water Management Trust Fund, or otherwise as necessary <br />to prepare for closing of this transaction. <br />2. Purchase Price for Real Property. The purchase price for the Conservation Easement <br />shall be One Hundred Twenty-Five Thousand Dollars ($125,000). The purchase price shall be paid <br />at the closing, <br />3. Closinng Expenses. Buyer shall pay for preparation of the deed, the survey, and for <br />all recording expenses related to the transaction. Seller shall pay the excise stamp taxes. Except as <br />otherwise stated herein, each party shall bear its own expenses, including attorney fees, if'any. <br />4. Closing of Sale and Purchase.. The parties agree to execute any and all documents and <br />papers necessary in connection with closing and transfer of title as soon as the environmental survey <br />and property report, and the survey, all to be prepared and paid for by or at Buyer's direction, aze <br />complete, and when Buyer's counsel has completed the examination of'title herein and is able to <br />certify title to Buyer; closing shall take place upon convenient and reasonable notice to the Seller as <br />to time and place. <br />At closing, Seller shall deliver to Buyer an affidavit in form acceptable to the Buyer that there <br />is no environmental contamination upon the Property to Seller's knowledge as of closing, and a <br />warranty deed conveying the Conservation Easement to the parties Buyer, free of all liens and <br />encumbrances. <br />5. Parties; Assienrrrent; Terms. This Contract shall be binding upon and shall inure to <br />the benefit of the parties and their heirs, successors and assigns. <br />6, Evidence of Title.. Seller agrees to exercise their best efforts to deliver to Buyer's <br />counsel as soon as reasonably possible after the date ofthis Contract, copies of all title information <br />
