DocuSign Envelope ID: B71 F1 D5A-7D09-4134-BF7D-345EB31 DC215 <br /> NORTH CAROLINA <br /> CONTRACT AMENDMENT <br /> ORANGE COUNTY <br /> THIS CONTRACT AMENDMENT is made and entered into this 10"' day of December, 2015 by and between <br /> ORANGE COUNTY (hereinafter referred to as "County") and Moseley Architects (hereinafter referred to as <br /> "Provider"). <br /> WITNESSETH: <br /> THAT WHEREAS, the County and Provider entered into a contract dated August 24, 2015, (hereinafter the "Original <br /> Agreement"), for the provision of construction design services to the County, specifically the Basic Services set out <br /> therein;and <br /> WHEREAS, the County and Provider desire to amend the Original Agreement while keeping in effect all terms and <br /> conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. <br /> NOW THEREFORE, for and in consideration of the mutual covenants and agreements made herein, the parties agree to <br /> amend the Original Agreement as follows: <br /> 1. County directed and Provider agreed to suspend the performance of all Basic Services on the design project <br /> effective November 30, 2015 and continuing until further notice. Provider shall not perform any further <br /> work on the Basic Services and County shall not be responsible for costs associated with any Basic Services <br /> work performed by Provider during this suspension. <br /> 2. It is anticipated the suspension will be Iifted. This shall only be accomplished in the form of a written notice <br /> from County instructing Provider to resume the performance of Basic Services. <br /> 3. Section 3(a)(ii) of the Original Agreement is stricken and will be replaced with a new list of tasks and <br /> milestone dates. This new list of tasks and milestone dates shall, after review by Provider, accompany the <br /> written notice from County instructing Provider to resume the performance of Basic Services. The new list <br /> of tasks and milestones will then be attached to,and incorporated in,this Amendment. <br /> 4. Except for the changes made herein,the Original Agreement shall remain in full force and effect to the extent <br /> it is not inconsistent with this Amendment. In the event that there is a conflict between the Original <br /> Agreement and this Amendment,this Amendment shall control. <br /> [SIGNATURE PAGE FOLLOWS] <br />
