Revised 9/16 <br />4 <br /> <br /> 4.1.3 The Commencement Date for the Consultant's Basic Services shall be October 1, <br />2016. <br /> <br />ARTICLE 5 COMPENSATION <br /> <br /> 5.1 Compensation for Services <br /> <br /> 5.1.1 The total compensation for Services shall not exceed a maximum of Eighty-Nine <br />Thousand Nine Hundred Ninety-Nine dollars ($89,999). <br /> <br /> 5.1.2 Compensation for Basic Services. Compensation for Basic Services shall include <br />all compensation due the Consultant from the County for all services under this Agreement <br />except for any authorized Reimbursable Expenses which are defined herein. The maximum <br />amount payable for Basic Services is Seventy-Three Thousand Four Hundred Seventy-Seven <br />Dollars ($73,477). Payment for Basic Services shall become due and payable in direct <br />proportion to satisfactory services performed and work accomplished. Payments will be in three <br />payments as Project Milestones set out in Section 3.1.2 are satisfactorily achieved as follows: <br /> <br />Project Milestone Payment Schedule Payment <br />Site Data and Equipment Inventory Review Week 4 $25,700 <br />Deliverable: Final Orange County Radio System Alternatives <br />Report <br />Week 11 $37,500 <br />Support Vendor Proposal Evaluation Week 20 $10,277 <br /> <br /> 5.1.3 Compensation for Additional Services. County shall not be responsible for costs <br />related to any services in addition to the Basic Services performed by Consultant unless County <br />requests such additional services in writing. Additional Services are list as “optional services” in <br />Attachment A, Technical Proposal (See §1.2). Additional Services and the cost of those services <br />are outlined in Attachment C, Costs for Additional Procurement Support. The County shall not <br />be responsible for any other services other than those listed in Attachment A or C unless <br />requested in writing an evidenced by an amendment to this Agreement. <br /> <br />ARTICLE 6 RESPONSIBILITIES OF THE COUNTY <br /> <br /> 6.1 Cooperation and Coordination <br /> <br /> 6.1.1 The County has designated Emergency Services Director to act as the County's <br />representative with respect to the Project and shall have the authority to render decisions within <br />guidelines established by the County Manager and the County Board of Commissioners and shall <br />be available during working hours as often as may be reasonably required to render decisions <br />and to furnish information. <br /> <br /> 6.1.2 The County shall be solely responsible for determining whether Consultant as <br />satisfactorily completed Tasks associated with Milestone Dates. Upon Count y’s written <br />determination to Consultant that a Task has been satisfactorily completed by its accompanying <br />Milestone Date Consultant may submit an invoice for payment. It is agreed that County shall not <br />unreasonably withhold its determination of satisfactory completion of any Task.
