Memorandum of Agreement <br />Triangle Water Supply Partnership <br />August 7, 2018 Page 4 of 35 <br />4 must be present for a quorum, and all those present must vote affirmatively for a <br />proposed action to pass. <br />o) Special Project Quorum – means more than one half of the Participants in that <br />Special Project have a Representative (or Alternate Representative) in attendance <br />at a meeting. <br />p) Super Majority Vote – means a Partnership decision made by vote of at least three <br />quarters of the total number of Representatives (or Alternate Representatives). For <br />example, if there are 15 Members (and therefore 15 Representatives), 12 must <br />vote affirmatively for a proposed action to pass by Super Majority Vote. <br />3) Participants: <br />a) All parties to this Agreement are Participants in the Partnership. The original <br />parties to this Agreement are: <br />i) Town of Apex, <br />ii) Town of Cary, <br />iii) Chatham County, <br />iv) City of Durham, <br />v) Harnett County, <br />vi) Town of Hillsborough, <br />vii) Town of Holly Springs, <br />viii) Johnston County, <br />ix) Town of Morrisville, <br />x) Orange County, <br />xi) Orange Water and Sewer Authority, <br />xii) Town of Pittsboro, and <br />xiii) City of Raleigh. <br />b) Eligibility. Governmental entities, water and/or sewer authorities, public water <br />utilities, regulated utilities which own and operate water supply reservoirs, <br />reservoir operators providing water supply-related service within the Triangle <br />Region, and any other entities authorized to participate by NCGS 143-355.8, and <br />in the Neuse or Cape Fear River Basins, are eligible to become Participants <br />(“Eligible Participants”). Notwithstanding this general definition, the Participants <br />shall determine eligibility for any specific entity. <br />8
