<br />Page 1 of 15 <br /> <br />INTERLOCAL AGREEMENT BETWEEN ORANGE COUNTY AND THE TOWNS OF <br />CARRBORO, CHAPEL HILL, AND HILLSBOROUGH REGARDING THE PROVISION <br />OF SERVICES RELATED TO AND THE DISPOSITION OF SOLID WASTE AND <br />RECYCLABLES IN ORANGE COUNTY <br /> <br />THIS AGREEMENT, made and entered into this ____ day of _____________, 2018 <br />between Towns of Carrboro, Chapel Hill, and Hillsborough, North Carolina municipal <br />corporations, of Orange County, North Carolina (hereinafter referred to individually as the <br />“Town” and jointly as “Towns”); and Orange County, a political subdivision of the State of North <br />Carolina (hereinafter referred to as the “County”), for the provision of solid waste and recycling <br />programs and services and disposition of solid waste and recyclables within Orange County. <br />(County and Towns may be referred to individually as “Party” and collectively as the “Parties”). <br /> <br />The Parties also acknowledge that UNC Healthcare and the University of North Carolina <br />– Chapel Hill (“UNC-CH”) are important stakeholders in the County and the Towns’ planning for <br />current and future solid waste management. While UNC Healthcare and UNC-CH are not <br />parties to this Agreement, the Parties acknowledge the vital role they play and further <br />acknowledge their intention to invite participation by UNC Healthcare and UNC-CH in future <br />planning and decision-making with respect to the issues covered by this Agreement. <br /> <br />The purpose of this Agreement is to foster the continued relationship of cooperation and <br />collaboration between the County, and the Towns, which has proved successful for 45 years, to <br />provide flexibility to meet the evolving needs of the community and to continue the model of <br />environmental excellence and leadership exhibited by the intergovernmental partnership. This <br />collaborative agreement is established and maintained based on cooperative trust among the <br />Parties that is essential to the effective implementation of this Agreement and the management <br />of high quality local solid waste and recycling services, programs, and facilities. <br /> <br />WITNESSETH <br /> <br />WHEREAS, the County, and Towns are public bodies, politic and corporate, under the <br />laws of the State of North Carolina and are vested with the power and authority by Article 20 of <br />North Carolina General Statutes Chapter 160A to enter into this Inter-local Agreement <br />(hereinafter referred to as the “Agreement”); and <br /> <br />WHEREAS, the County operates and/or contracts for the operation of solid waste and/or <br />recyclable materials collections services in the jurisdictions of the County and Towns; and <br /> <br />WHEREAS, the County and Towns desire to establish procedures, policies, rights, and <br />responsibilities for (1) the collection, transport, and disposition of solid waste, construction and <br />demolition materials, compostable materials, recyclable materials, and programs related thereto <br />(the “Services”); (2) the Waste and Recycling Centers, Drop Off Sites, C&D Landfill and closed <br />Landfill Sites (the “Facilities”) and (3) the programs related to the Services and Facilities (the <br />“Programs”) . <br /> <br />NOW, THEREFORE, in consideration of the foregoing and on mutual promises and <br />obligations set forth herein, the receipt and sufficiency of which is hereby acknowledged, the <br />County and Towns agree as follows: <br /> <br /> <br />5
