Subscription Services Agreement v.10.18.18 <br />22 <br /> <br />Section 13 GENERAL <br /> <br />13.1. TAXES. The Contract Price does not include excise, sales, lease, use, property, or other taxes, <br />assessments or duties, all of which will be paid by Customer except as exempt by law. If Motorola is <br />required to pay any of these taxes, Motorola will send an invoice to Customer and Customer will pay to <br />Motorola the amount of the taxes (including any interest and penalties) within thirty (30) days after the <br />date of the invoice. Customer will be solely responsible for reporting the Equipment for personal property <br />tax purposes, and Motorola will be solely responsible for reporting taxes on its income or net worth. <br /> <br />13.2 MISCELLANEOUS. This addendum may be executed in multiple counterparts, and shall have <br />the same legal force and effect as if the Parties had executed it as a single document. The Parties may <br />sign in writing, or by electronic signature, including by email. An electronic signature, or a facsimile copy <br />or computer image, such as a PDF or tiff image, of a signature, shall be treated as and shall have the <br />same effect as an original signature. In addition, an electronic signature, a true and correct facsimile <br />copy or computer image of this Addendum shall be treated as and shall have the same effect as an <br />original signed copy of this document. <br /> <br />13.3 AUTHORITY TO EXECUTE ADDENDUM. Each Party represents that it has obtained all <br />necessary approvals, consents and authorizations to enter into this Addendum and to perform its duties <br />under this Addendum; the person executing this Addendum on its behalf has the authority to do so; upon <br />execution and delivery of this Addendum by the Parties, it is a valid and binding contract, enforceable in <br />accordance with its terms; and the execution, delivery, and performance of this Addendum does not <br />violate any bylaw, charter, regulation, law or any other governing authority of the Party. <br /> <br />The Parties hereby enter into this Addendum as of the Effective Date. <br /> <br /> <br />Motorola Solutions, Inc.
