1.10 PROJECT ADMINISTRATION <br />1.10.1 Project Status Meetings <br />Motorola Solutions Responsibilities: <br />As required, during the project Motorola Solutions Project Manager, or designee, will <br />attend all project status meetings with the Customer, as determined during the CDR. <br />Record the meeting minutes and supply the report. <br />The agenda will include the following: <br />-Overall project status. <br />-Product or service related issues that may affect the implementation. <br />-Status of the action items and the responsibilities associated with them. <br />-Any miscellaneous concerns of either the Customer or Motorola Solutions. <br />Customer Responsibilities: <br />Attend meetings. <br />Respond to issues in a timely manner. <br />Completion Criteria: <br />Completion of the meetings and submission of meeting minutes. <br />1.10.2 Change Order Process <br />Either Party may request changes within the general scope of this Agreement. If a <br />requested change causes an increase or decrease in the cost, change in solution <br />configuration or adds time to the project’s timeline required to perform this <br />Agreement, the Parties will agree to an equitable adjustment of the Contract Price, <br />Performance Schedule, or both, and will reflect the adjustment in a change order. <br />Neither Party is obligated to perform requested changes unless both Parties execute <br />a written change order. <br />QUOTE-148697 <br />Orange County SO DEMS <br />Proposal <br />Motorola's quote is based on and subject to the terms and conditions of the valid and executed written contract between Customer and Motorola (the ""Underlying Agreement"") that authorizes <br />Customer to purchase equipment and/or services or license software (collectively ""Products""). If no Underlying Agreement exists between Motorola and Customer, then Motorola's Standard Terms <br />of use and Purchase Terms and Conditions govern the purchase of the Products. <br /> <br />Page 20 <br />22
