The chassis specifications and condition shall be the responsibility of the <br /> County prior to EXCELLANCE accepting them. <br /> 4. Duration of Services <br /> a. Term. The term of this Agreement shall start from the latter date of (A) RECEIPT <br /> AND ACCEPTANCE OF CHASSIS BY PROVIDER, OR (B) RECEIPT OF ALL <br /> PARTS SUPPLIED BY THE COUNTY, OR(C)RECEIPT OF WRITTEN PURCHASE <br /> ORDER WITH A COMPLETE COPY OF THE SIGNED AND APPROVED <br /> "ATTACHMENT A" (Remount Pricing 15.1). Once all documents and equipment <br /> provided by the County are received by Provider, there will be a maximum of 120-Days <br /> for completion of the remount process by Provider. <br /> b. Scheduling of Services <br /> i) Should the County determine that the Provider is behind schedule, it may require <br /> the Provider to expedite and accelerate its efforts, including providing additional <br /> resources and working overtime, as necessary, to perform its services in <br /> accordance with the approved project schedule at no additional cost to the <br /> County. <br /> ii) The Commencement Date for the Provider's Basic Services shall be determined <br /> by the latest date of event occurring as outlined under "Duration of Services Item <br /> a." <br /> 5. Compensation <br /> a. Compensation for Basic Services. Compensation for Basic Services shall include all <br /> compensation due the Provider from the County for all services under this Agreement. <br /> The maximum amount payable for Basic Services One Hundred nine thousand two <br /> hundred and eighty nine dollars and thirty one cents ($109,289.31) of which Three <br /> thousand five hundred dollars ($3,500.00) will be credited in trade for the take-off <br /> chassis. The cash balance due after trade-in credit of the take-off chassis will be One <br /> Hundred five thousand seven hundred eighty nine dollars and thirty one cents <br /> ($105,789.31). Payment for Basic Services shall become due and payable within thirty <br /> (30) days of Provider properly invoicing County. Payment shall be subject to provisions <br /> of Section 5(b). EXCELLANCE will invoice the County a minimum of thirty days prior <br /> to the completion of each Orange County ambulance remount/refurbishment project. <br /> Payment of each remount/refurbished ambulance shall follow the compensation <br /> guidelines outlined in section 5(a). <br /> b. Disputes. In the event the amount stated on an invoice is disputed by the County, the <br /> County may withhold payment of all or a portion of the amount stated on an invoice <br /> until the parties resolve the dispute. Should Provider fail to perform its duties under the <br /> terms of this Agreement, County may, without fault or penalty, withhold any payment <br /> associated with the work to be performed until such time as said work is completed. <br /> Revised 12/17 <br />
