Customer will pay RPS for the services performed and materials provided as described in the <br /> Bid, or as necessary to complete the scope of work described in the bid, along with any change <br /> order(s)thereto, Upon completion of the scope of work and any change order(s)thereto,an <br /> invoice will be presented to Customer. Unless stated otherwise in the Bid or invoice, full <br /> payment is due and payable NET 30 from the invoice date. Late payments shall be subject to a <br /> Late Payment Charge of 1.5%(1.5 percent)per month on the past due outstanding balance from <br /> date of invoice until paid in full. <br /> 7.Customer is to notify RPS in writing of any questions or dissatisfaction Customer may have <br /> regarding work performed or the invoicing of the work performed within 10 days of the invoice <br /> date. Customer agrees to not withhold full payment of the invoice amount as a result of any <br /> dissatisfaction Customer may have with RPS so long as the agreed to scope of work has been <br /> performed by RPS. Should Customer withhold payment for any reason and it is determined that <br /> payment was wrongfully withheld then RPS shall be entitled to the Late Payment Charge <br /> described in numbered paragraph 6 above. <br /> 8. Customer's obligation to pay for the services contracted for and materials provided is not <br /> dependent upon the Customer's ability to obtain financing,payment from third parties,approval <br /> of governmental or regulatory agencies,successful completion of any other particular project,or <br /> any other contingencies or conditions, unless expressly set forth in this document. <br /> 9.Customer warrants and covenants that sufficient funds are available or will be available upon <br /> receipt of the RPS invoice to make payment in full for the services rendered by RPS. <br /> 10.Unless stated otherwise in the Bid, RPS provides the sole warranty that the work will be <br /> performed in a workman like manner consistent with the agreed to scope. <br /> 11.The Terms and Conditions as set forth within along with the scope of work and pricing above <br /> supersede and take precedence over any other written agreement or contract between the parties. <br /> 12. Should it become necessary for either RPS or Customer to seek legal action to enforce the <br /> terms and conditions of the bid,the Terms and Conditions set forth in this Document, the invoice <br /> or any other written agreement between the parties then it is agreed that all actions must be <br /> brought in New Hanover County,North Carolina and are subject to the laws of the State of North <br /> Carolina.The prevailing party in any legal proceeding shall be entitled to reimbursement of their <br /> reasonable legal fees,costs and expenses <br /> i <br /> I <br /> r <br />
