DocuSign Envelope ID: CB1367D0- F10D- 45A3- AB05- 2D2E5D054FD0 <br />ORANGE COUNTY <br />AMENDMENT TO DEVELOPMENT AGREEMENT <br />NORTH CAROLINA <br />THIS AMENDMENT, made and entered into this the 29' day of August, 2018, by and between the County of <br />Orange, a body politic and corporate of the State of North Carolina, ( "County "), and CASA ( "Provider "); <br />WITNESSETH: <br />WHEREAS, the County and Provider entered into a Development Agreement on or about August 22, 2018 <br />whereby the County granted the Provider FY 2016 HOME Community Housing Development Organization Set - <br />Aside funds to rehabilitate twenty -eight (28) rental units within the Club Nova and Johnson Street Apartments <br />( "Original Agreement "); and <br />WHEREAS, the County and Provider desire to amend the Original Agreement, while keeping in effect all terms <br />and conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. <br />NOW THEREFORE, for and in consideration for the mutual covenants and agreements made herein, the parties <br />agree to amend the Original Agreement as follows: <br />WHEREAS, this Agreement does not constitute a commitment of funds or site approval, and the <br />commitment of funds or approval may occur only upon satisfactory completion of environmental review <br />and receipt by the County of an approval of the request for release of funds and certification from the U.S. <br />Department of Housing and Urban Development or the state of North Carolina under 24 CFR Part 58. The <br />provision of any funds to the project is conditioned on the County's determination to proceed with, modify <br />or cancel the project based on the results of the environmental review. Pursuant to §92.502(b)(1), a <br />Responsible Entity must have completed the environmental review requirements under 24 CFR Part 58 and <br />obtained approval of the release of funds prior to setting up a specific local project in IDIS. <br />Except for the changes made to the fifth "WHEREAS" clause herein, the Original Agreement shall remain in full <br />force and effect to the extent it is not inconsistent with this Amendment.
