21 <br />County of Orange, Agricultural Preservation Board Rules of Procedure (amended September 7, 1999) <br />by the board as a non - agenda item if such matter is approved for consideration <br />by a majority vote of the members present. <br />I. Attendance <br />1. A member who will be unable to attend the regular meeting of the Board must <br />contact the Chair or Secretary at least 24 hours before the scheduled meeting <br />and indicate the general reason for being absent. Earlier notification is <br />encouraged. The Board will be notified o f the absence and reason at the <br />meeting. <br />2. Any members of the Board who miss more than three consecutive meetings or <br />public hearings, or who miss more than one -half of the meetings in a calendar <br />year, for something other than an approved absence as determined by the <br />Chair, may lose their status as member of the Board and may be replaced by <br />the Board of County Commissioners. <br />3. Absence due to sickness, death of an immediate family member, professional <br />leave, or other valid reason shall be considered approved absence and shall <br />not affect the member's status. <br />4. In the event of a long illness or other cause for prolonged absence, the <br />member may be replaced. <br />ARTICLE IV — CONDUCTING BUSINESS <br />A. Decisions <br />The vote of a majority of those members present shall be sufficient to decide any <br />matter before the Board, provided a quorum is present. No member shall be <br />excused from voting except as required in Section 1V.B or in Section W.D. In all <br />other cases, a failure to vote by a member who is physically present in the <br />meeting room or who has withdrawn without being excused by a majority vote of <br />the remaining members, shall be recorded as an affirmative vote. <br />B. Qualifications to Vote <br />No Board member shall vote on any matter before the board unless that member <br />shall have attended the Board's previous deliberations on such matter, or shall <br />otherwise have the approval of the Chair to vote on such matter. The Chair's <br />approval shall be contingent on the assurance by the member that the member has <br />read any material distributed to the Board members related to the matter and the <br />minutes of any meeting at which the matter was discussed. <br />5 <br />
