County of Orange, Agricultural Preservation Board Rules of Procedure (amended September 7, 1999) 19 <br />7. Vacancy <br />a. A vacancy in the office of Chair shall be filled by the Vice Chair <br />succeeding to the office for the balance of the unexpired term. <br />b. A vacancy in the office of Vice Chair (including a vacancy due to 7.a <br />above) shall be filled by election of a Vice Chair from the Board for <br />the balance of the unexpired term. <br />ARTICLE III — MEETINGS <br />A. Regular Meetings <br />Regular meetings of the Board shall be held on the third Wednesday of each <br />month at a time established by the Board. Regular meetings will be adjourned no <br />later than 10:30 p.m. but may be continued past that time with a unanimous vote <br />of members present. When the regular meeting day falls on a legal holiday, the <br />Board may call a special meeting in accord with Section B. below. <br />B. Special Meetings. <br />Special meetings may be called by the Chair or by written request of two (2) <br />members of the Board submitted to the Board or Chair. Written or oral notice of <br />special meetings shall be given to all members at least forty -eight (48) hours prior <br />to the meeting and shall state the time, place, and purpose of the meeting. <br />C. Cancellation of Meetings. <br />Whenever there is no business to come before the Board, the Chair may dispense <br />with a regular meeting by giving notice to all members not less than twenty -four <br />(24) hours prior to the time set for the meeting. <br />D. Quoru m. <br />A quorum shall consist of a majority of the appointed members of the Board. A <br />member who has withdrawn a from a meeting without being excused by a <br />majority vote of the remaining members present shall be counted as present for <br />the purpose of determining whether or not a quorum is present. <br />3 <br />
