<br />This Agreement made and entered into by and between Orange County and the University of North Carolina at <br />Chapel Hill (UNC) effective this the 15th day of August, 2018. <br />Whereas, UNC would like to participate in the upcoming Recycling Composition Study to be conducted for <br />Orange County during fiscal year 2018-19, and <br />Whereas, the study will be conducted under contract between Orange County and a Solid Waste Consulting Firm <br />(“Consulting Firm”) to be selected via an informal Request for Proposals issued by Orange County, developed <br />with input from UNC. <br />Now Therefore, for the purpose and subject to the terms and conditions hereinafter set forth, the County and <br />UNC agree as follows: <br />TERM. <br />The term of this Agreement will be from August 15, 2018 to June 30, 2019. <br />GENERAL PROVISIONS. <br />1. The County will select one Consulting Firm to sort, characterize and report on the quality and nature of <br />recyclable materials collected by Orange County, its recycling contractor and from UNC. <br />2. UNC will deliver, or cause to be to delivered, up to ten (10) selected loads of recyclable material to <br />Orange County’s integrated Solid Waste Management Facility for sorting and characterization during the <br />sorting study period. Delivery of the loads for sorting will be determined by mutual agreement between <br />Orange County, UNC and the Consulting Firm. UNC will be responsible for delivering all loads of <br />recyclables for sorting during the selected recycling sort period. The County will manage the materials <br />once they have been delivered and be responsible for their proper disposition as recyclables. <br />3. UNC will receive a technical report and presentation-ready data from the Consulting Firm based on that <br />characterization study. Protocols and categories for sorting the recyclables are to be set in the contract <br />between Orange County and the Consulting Firm with input from UNC. <br />4. Orange County will be the sole party to the contract with the Consulting Firm. <br />PAYMENT. <br />1. UNC agrees to reimburse Orange County the cost, up to $5,000, charged by the Consulting Firm for <br />sorting of recyclable materials coming from UNC, the separate technical report on UNC’s materials from <br />the sorting study and a set of presentation materials to be derived from that technical report. <br />DocuSign Envelope ID: F3521154-C880-46B8-90AF-D11277AFEAF7
