STATE OF NORTH CAROLINA AGREEMENT FOR THE COUNTY OF ORANGE ARCHITECTURAL and ENGINEERING CONSULTANT SERVICES This Agreement made and entered into by and between The County of Orange, on behalf of the Solid Waste Management Department, hereinafter "County" and Swanson and Associates hereinafter "Consultant" far services as hereinafter described for the development of a detailed vegetation and planting plan for the closed portions of the Eubanks Road landfill. WITNESSETH That for and in consideration of the mutual promises and conditions set forth below, the Consultant agrees: 1. Duties of Consultant: Consultant agrees to provide services as described in Exhibit A and incorporated herein by reference. 2. Duties of the County: The County shall pay for Consultant's services as set forth in Exhibit A and incorporated herein by reference. 3. Billing and Payment: Consultant shall submit regular invoices for work performed and shall be paid for completion of the work performed during that period under the terms of this Agreement. Payment will be made by the County within thirty (30) days of receipt of an accurate invoice. The value of this contract is not to exceed $7,500 except as agreed by the parties. 4. Amendment :This agreement may be amended or cancelled by mutual agreement of the County and the Consultant. Either the County or the Consultant may terminate this Agreement at any time with or without cause upon giving the other party 21 calendar days prior written notice. County shall within sixty calendar days following termination pay the Consultant for all services rendered and all costs incurred up to the date of termination, in accordance with the compensation provisions of this contract. Any amendments to the contract are not valid unless signed by the County Manager and the Finance Director. 5. INSURANCE PROVISIONS l . Worker's Com ensation: Coverage to apply for all employees for statutory limits in compliance with the state and federal laws. The policy must include employers' liability with a limit of $100,000 each accident, $100,000 bodily injury by disease each employee and $500,000 bodily injury by disease policy limit. 2. Comprehensive General Liability: Shall have minimum limits of $1,000,000 per occurrence combined single limit for bodily injury, liability and property damage liability. This shall include premises and/or operations, independent contractors, products, and/or completed operations, broad form property damage and explosion, collapse and underground damage coverage and a contractual liability endorsement.
