STATE OF NORTH CAROLINA AGREEMENT FOR <br />THE COUNTY OF ORANGE ARCHITECTURAL and <br />ENGINEERING CONSULTANT SERVICES <br /> <br />This Agreement made and entered into by and between The County of Orange, on behalf of the Solid Waste <br />Management Department, hereinafter "County" and Swanson and Associates hereinafter "Consultant" far <br />services as hereinafter described for the development of a detailed vegetation and planting plan for the closed <br />portions of the Eubanks Road landfill. <br />WITNESSETH <br />That for and in consideration of the mutual promises and conditions set forth below, the Consultant agrees: <br />1. Duties of Consultant: Consultant agrees to provide services as described in Exhibit A and incorporated <br />herein by reference. <br />2. Duties of the County: The County shall pay for Consultant's services as set forth in Exhibit A and <br />incorporated herein by reference. <br />3. Billing and Payment: Consultant shall submit regular invoices for work performed and shall be paid for <br />completion of the work performed during that period under the terms of this Agreement. Payment will <br />be made by the County within thirty (30) days of receipt of an accurate invoice. The value of this <br />contract is not to exceed $7,500 except as agreed by the parties. <br />4. Amendment :This agreement may be amended or cancelled by mutual agreement of <br />the County and the Consultant. Either the County or the Consultant may terminate this Agreement at any <br />time with or without cause upon giving the other party 21 calendar days prior written notice. County <br />shall within sixty calendar days following termination pay the Consultant for all services rendered and all <br />costs incurred up to the date of termination, in accordance with the compensation provisions of this <br />contract. <br />Any amendments to the contract are not valid unless signed by the County Manager and the Finance <br />Director. <br />5. INSURANCE PROVISIONS <br />l . Worker's Com ensation: Coverage to apply for all employees for statutory limits in compliance with <br />the state and federal laws. The policy must include employers' liability with a limit of $100,000 each <br />accident, $100,000 bodily injury by disease each employee and $500,000 bodily injury by disease policy <br />limit. <br />2. Comprehensive General Liability: Shall have minimum limits of $1,000,000 per occurrence combined <br />single limit for bodily injury, liability and property damage liability. This shall include premises and/or <br />operations, independent contractors, products, and/or completed operations, broad form property damage <br />and explosion, collapse and underground damage coverage and a contractual liability endorsement. <br />
