a. Termination by FASTER <br />FASTER shall have the right, upon nonce to Customer, In reanimate this Agreement if. (a) <br />Customer Me to pay FASTER any amount due hereunder and such failure to pay is not cured <br />within 30 days following FASTER's notice to Customer of such breech', (b) Customer <br />materially breaches any term or condition of this Agreement, provided such breach it not cured <br />by Customer within 30 days fallowing FASTER's notice to Customer of such breeh; or (c) <br />Customer (i) manholes or suspends its busmess activities; (ii) makes an assignment for the <br />benefit of creditors, or becomes subject to direct control of a trustee, receiver miler <br />authority; or (iii) becomes subject 0 any bankruptcy or insolvency proceeding under federal or <br />state statutes. <br />In. Termination by Customer <br />Customer will have the right, upon entice m FASTER, to marinate this Agreement if (a) <br />FASTER is in material breach of this Agreement and FASTER fails to money such material <br />breach within 30 days of its receipt of such notice, (b) m provided by Section 3(Q of <br />Attachment C; (c) FASTER (i) continues or suspends I¢ business activities; (ii) makes an <br />assignment for the benefit ofereddors, or becomes subject to direct control claimants, receiver <br />or mild mthohty; or (iii) becomes subject to any bankruptcy or insolvency proceeding under <br />fedeml or slate mabdes. <br />9. General <br />a. Agreement Modifications <br />This Agreement can he modified only by a written agreement duly executed by persons <br />authorized to sign agreements on behalf of Customer and of FASTER. Any variance from the <br />(sums and conditions of this Agreement in any order or other written notification from the <br />Customer will be ofno effect. <br />b. Entire Agreement <br />This Agreement mnstitutcs the entire agreement among the Parties, and my prior understanding <br />or represenmtion ofany kind preceding the data ofthis Agreement shell not be bindingon any <br />party except to the extent incorporated in this Agreement. <br />c. No Other Wmanties outside ofthis Agreement <br />EXCEPT MR THE EXPRESS WARRANTIES STATED M THIS AGREEMENT, FASTER <br />DISCLAIMS ALL WARRANTIES WITH REGARD 1'O THE FASTER PRODUCT SOLD <br />HEREUNDER, INCLUDING ALL IMPLIED WARRANTIES OF MARKETABILITY AND <br />FITNESS AND ALL OBLIGATIONS OR LIABILITIES ON THE PART OF FASTER FOR <br />DAMAGES INCLUDING, BUT NOT LIMITED TO, CONSEQUENTIAL DAMAGES <br />ARISING OUT OF, OR IN CONNECTION WITH, THE USE OR PERFORMANCE OF THE <br />SYSTEM. <br />d. Savings Clause <br />If my provision or provisions of this Agreement shall be held to he invalid, illegal, or non - <br />enfammiah; Me validity, legality, and enfrccability of the remaining provisions shall not in my <br />way be affected or impaired thereby. <br />e.
