The number of containers will be determined by Shred -it in its discretion after <br />discussions with County. Subject to the Schedule, which is attached hereto and <br />incorporated by reference as Exhibit A, additional containers may be added to this <br />Agreement and shall automatically become part of and subject to the terms hereof. (b) <br />Provider will: (i) collect the CCM on a regularly scheduled and mutually agreed basis <br />and (ii) destroy the CCM using a mechanical device (the "Destruction Process "). (c) <br />Within a reasonable time following completion of the Destruction Process, Provider will <br />provide County with a Certificate of Destruction. (d) An authorized representative of <br />County may, at any time, inspect the Destruction Process. (e) Provider will recycle or <br />otherwise dispose of the CCM. <br />b. Equipment. Containers, consoles, bins and other equipment that Provider places with <br />County in connection with the Services (such items, collectively, "Equipment ") are the <br />property of Provider. County shall not file any lien, nor allow to be filed any lien, <br />against any Equipment. County shall use commercially reasonable efforts to keep all <br />Equipment in good working order, normal wear and tear excepted. For Equipment that <br />is damaged, stolen or lost while placed with County through no fault of Provider, County <br />shall pay Provider its then current replacement charge. County shall not place in any <br />Equipment any hazardous material or any other material that is highly flammable, <br />explosive, toxic, a biohazard, medical waste, or radioactive or any other material which <br />is otherwise prohibited, illegal, dangerous and/or unsafe. County shall use Equipment <br />only for purposes expressly permitted by Provider. Upon the expiration or termination <br />of this Agreement, Provider shall be entitled to retrieve the Equipment. <br />4. Duration of Services <br />a. Term. The term of this Agreement shall be from 07/01/2018 to 06/30/2019. <br />b. Scheduling of Services. <br />i) The Provider shall schedule and perform its activities in a timely manner. <br />Should the County determine that the Provider is behind schedule, it may require the Provider to <br />expedite and accelerate its efforts, including providing additional resources and working <br />overtime, as necessary, to perform its services in accordance with the approved project schedule <br />at no additional cost to the County. <br />ii) The Commencement Date for the Provider's Basic Services shall be 07/01/2018. <br />5. Compensation <br />a. Compensation for Basic Services. Compensation for Basic Services shall include all <br />compensation due the Provider from the County for all services under this Agreement. <br />The maximum amount payable for Basic Services shall not exceed Two Thousand <br />Dollars ($2,000.00). Payment for Basic Services shall become due and payable within <br />thirty (30) days of County's receipt of an invoice. Payment shall be subject to <br />provisions of Section 5(b). All payments must be in immediately available U.S. funds. <br />b. Disputes. In the event the amount stated on an invoice is disputed by the County, the <br />County may withhold payment of all or a portion of the amount stated on an invoice <br />Revised 10/17 <br />3 <br />
