Page11of14 <br /> <br />5.Appointedmembersshallnotdelegatetheirvotetoanothermember. <br />6.TheChairoftheadvisoryboardmayparticipateandvoteonallissues. <br />7.Votingbyproxyisnotauthorizedandshallnotbeallowed. <br />8.Membersmaynotabstainfromvotingbutwhereamemberhasaconflictof <br />interestthemembermaybeexcusedbymajorityvoteoftheadvisoryboard. <br />9.Membersofadvisoryboardsmustbephysicallypresenttovote. <br />10.Individualsappointedasexofficiomembersoftheadvisoryboardarenot <br />authorizedtovoteonanyissuebeforetheadvisoryboard. <br /> <br />SECTIONIX.ETHICS <br /> <br />A.ConflictofInterest <br />1.Duringadvisoryboardmeetings,amembershallimmediatelydiscloseanypotential <br />conflictofinterestandrequesttobeexcusedfromvotingwhenheorshehasa <br />conflictofinterest. <br />2.Duringappealproceedings,theapplicanthastherighttoquestiontheinterestof <br />anyvotingmember.TheadvisoryboardchairshouldconsultwiththeCounty <br />Attorneyorstaffattorneyonanypotentialconflictofinterestinappealmatters. <br />3.Indeterminingfromexistingfactsandcircumstanceswhetheraconflictofinterest <br />existsthedeterminingpartyshallconsiderthefactsandcircumstancesaswouldan <br />ordinaryandreasonablepersonexercisingprudence,discretion,intelligence,and <br />duecare. <br /> <br />B.Gifts <br />1.Anadvisoryboardmembershallnotdirectlyorindirectlyask,accept,demand, <br />exact,solicit,seek,assign,receive,oragreetoreceiveanygiftorhonorariumforthe <br />advisoryboardmember,orforanotherperson,inreturnforbeinginfluencedinthe <br />dischargeoftheadvisoryboardmember’sofficialresponsibilities. <br />2.ThissectionshallnotapplytogiftsorawardsauthorizedbyOrangeCountyPolicies, <br />Resolutions,orOrdinances. <br /> <br />C.CodeofEthics <br />1.Advisoryboardmembersshouldactwithintegrityandwithindependencefrom <br />improperinfluenceastheyexercisethefunctionsoftheiroffices.Characteristics <br />andbehaviorsthatareconsistentwiththisstandardare: <br />a.Adheringfirmlytoacodeofsoundvalues. <br />b.Behavingconsistentlyandwithrespecttowardseveryonewithwhomthey <br />interact. <br />c.Exhibitingtrustworthiness. <br />d.Livingasiftheyareondutyasappointedofficialsregardlessofwherethey <br />areorwhattheyaredoing. <br />e.Usingtheirbestindependentjudgmenttopursuethecommongoodasthey <br />seeit,presentingtheiropinionstoallinareasonable,forthright,consistent <br />manner. <br />f.Remainingincorruptible,selfͲgoverning,andnotsubjecttoimproper <br />influence,whileatthesametimebeingabletoconsidertheopinionsand <br />ideasofothers. <br />g.Disclosingcontactsandinformationaboutissuesthattheyreceiveoutside <br />Attachment 2 15
