Page10of14 <br /> <br /> <br />SECTIONVII.SUBCOMMITTEES <br /> <br />A.PurposeandFormation <br />1.Subcommitteesmaybeformedbytheadvisoryboardtoresearchandmakespecial <br />recommendationsonspecialissuesorareasinordertocarryoutthedutiesofthe <br />advisoryboard. <br />2.Allsubcommitteesshallbereviewedbytheappointingbodyonanannualbasisto <br />determinecontinuedneedandrealignmentwiththeprioritiesoftheadvisory <br />board. <br />3.Approvedsubcommitteesmusthavedocumentedgoals,deliverables,anda <br />timeline.Thesubcommitteewillceasetomeetwhenthesearesatisfied. <br />4.TheadvisoryboardChairmayrequestthattheOrangeCountyBoardof <br />Commissionerschangethestructureand/oroperatingproceduresoftheadvisory <br />boardifheorshedeemsitessentialforimprovingtheboard’sproductivityand <br />effectiveness. <br />5.Asubcommitteecanbeformedwiththeapprovaloftheadvisoryboardchairand <br />majorityvoteoftheadvisoryboard. <br />6.Subcommitteesshalloperateasdirectedbytheadvisoryboard. <br /> <br />B.ProcedureandMembership <br />1.Amemberofthesubcommitteeshalltakeresponsibilityfortakingminutesof <br />subcommitteemeetingsandshallreporttotheadvisoryboardthesubcommittee’s <br />progresstowarditsstatedobjectives,includingdissentingviewpoints. <br />2.Subcommitteesshalloperatebymajorityvote. <br />3.SubcommitteesmayrequestatechnicalrepresentativebeapprovedbytheCounty <br />Manager. <br />4.SubcommitteesshalloperateopenlyasdefinedbyapplicableNorthCarolinaState <br />lawandlocalordinancesandpolicies. <br />5.Membershiponsubcommitteesshallbevoluntaryunlessthespecificadvisoryboard <br />policydictatesotherwise. <br /> <br />SECTIONVIII.QUORUMANDVOTING <br /> <br />A.Quorum <br />1.Aquorumforameetingofanadvisoryboardandanysubcommitteethereofshall <br />consistofamajorityofthenumberofappointedmembers.Vacantpositionsare <br />notcountedwhendeterminingifaquorumispresent. <br />2.Memberswhoteleconferenceintothemeetingmaynotbecountedpresentfor <br />purposesofaquorum. <br /> <br />B.Voting <br />1.Unlessotherwiserequiredbylaw,alldecisionsshallbereachedbyasimplemajority <br />vote. <br />2.Allvotingwillbeconductedinopenmeetings,exceptwheninclosedsessionwhere <br />suchclosedsessionispermittedbyNorthCarolinalaw. <br />3.Noissuescanbevoteduponunlessaquorumispresent. <br />4.Onlyappointedmemberscanvoteatadvisoryboardmeetings. <br />Attachment 2 14
