DocuSign Envelope ID: 70663967- 490D- 4E33 -B41 B- 697DE40704DO <br />ORANGE COUNTY <br />AMENDMENT #1 TO AGREEMENT <br />NORTH CAROLINA <br />THIS AMENDMENT, made and entered into this the 20 day of March, 2018, by and between the County of Orange, <br />a body politic and corporate of the State of North Carolina, ( "County "), and Patriot Properties, Inc. ( "Vendor "); <br />WITNESSETH: <br />WHEREAS, the County and Vendor entered into a Services Agreement dated, November 16th 2009, to provide <br />services to be rendered by Vendor to County ( "Original Agreement "); and <br />WHEREAS, the County and Vendor desire to amend the Original Agreement, while keeping in effect all terms and <br />conditions of the Original Agreement not inconsistent with the terms and conditions set forth below. <br />NOW THEREFORE, for and in consideration for the mutual covenants and agreements made herein, the parties <br />agree to amend the Original Agreement as follows: <br />1. Purchase of the module to "Upgrade to .NET" (including conversion, implementation and training). The <br />upgrade will include: <br />a. AssessPro version 5 (AP5) <br />b. Upgrading of the PIN App to work with the AP5 database and table structure; <br />c. Training on all new products <br />d. Integrated SketchPro graphical sketching program <br />e. NCPTS extract <br />f. WebPro assistance to feed the website from AP5 <br />g. All current necessary SQL views <br />h. Integreated AssessPro desktop GIS Viewer <br />i. Integration with Data Cloud Solutions' product called MobileAssessor <br />j. Integration with the Spatialest Inc products of Spatialest, Comper, Comper for Citizen and Property <br />Record Card <br />2. AMEND Section 1(D) EQUAL EMPLOYMENT OPPORTUNITY to include the following language: <br />Vendor shall not discriminate based upon race, ethnicity, color, national origin, religion, <br />creed, age, sex, gender, gender identity, gender expression, marital status, familial status, <br />disability, political affiliation, veteran status, disabled veteran status. <br />3. AMEND Section I(G) GOVERNING LAW AND JURISDICTION to include the following language: <br />This Agreement and the duties, responsibilities, obligations and rights of respective parties <br />hereunder shall be governed by the laws of the State of North Carolina. By executing this <br />Agreement Provider affirms that Provider and any subcontractors of Provider are and shall <br />remain in compliance with Article 2 of Chapter 64 of the North Carolina General Statutes. <br />By executing this Agreement Provider certifies that Provider has not been identified, and has <br />not utilized the services of any agent or subcontractor identified, on the list created by the <br />State Treasurer pursuant to G.S. 147 - 86.58. By executing this Agreement Provider certifies <br />that Provider has not been identified, and has not utilized the services of any agent or <br />subcontractor identified, on the list created by the State Treasurer pursuant to G.S. 147- <br />86.81. <br />4. ADD Section I(NN) with the following language: <br />NN. ELECRONIC SIGNATURES All electronic signatures affixed <br />hereto evidence the consent of the Parties to utilize electronic signatures and intent of the <br />Parties to comply with Article IIA and Article 40 of North Carolina General Statutes <br />Chapter 66. <br />5. The total amount encumbered and payable for the product and services included in this amendment shall not <br />exceed eighty -five thousand dollars ($85,000.00). <br />6. Payment schedule for the encumbered eighty -five thousand dollars ($85,000.00) shall be: <br />Revised December 2016 <br />
