DocuSign Envelope ID: F856847F- 1247- 4DB9- A4D8- 423333DF45F4 <br />Sail & Environmental Consultants, PA <br />8412 Falls of Neuse Road, Suite 104, Raleigh, NC 27615 • Phone: (919) 846 -5900 • Fax: (919) 846 -9467 <br />sandec.com <br />PROPOSAL / AGREEMENT FOR PROFESSIONAL SERVICES <br />This Proposal /Agreement for Professional Services (the "Agreement ") is by and <br />between Orange County Government (Attn Jeffery Thompson) , <br />located at 131 West Margaret Lane, Suite 300, PO Box 8181, Hillsborough, NC 27278 <br />(hereinafter "Client "), and Soil & Environmental Consultants, PA, a corporation, with its corporate office at 8412 Falls <br />of Neuse Road, Suite 104 North Carolina, 27615 (hereinafter "S &EC" ). <br />SITE INFORMATION <br />S &EC shall provide the services as described below to Client for the project located at West Hill Ave N and <br />Hwy 70, Orange County, NC (See attached map). (physical location) <br />Acreage approx.20 PIN <br />SERVICES. <br />Item 1: S &EC will delineate wetland boundaries and stream oriains /stoD Doints across <br />the site. <br />Item 2: S &EC will submit request packet and all necessary forms to the USACE the <br />purpose of obtaining a new Jurisdictional Determination <br />Item 3: S &EC will conduct a field visit with the USACE to confirm wetland and stream <br />determinations onsite. (if necessary) <br />Item 4: S &EC will coordinate with the client's survevor to submit a JD maD to the <br />USACE for signoff (if requested <br />(hereinafter "Services ") <br />DELIVERABLES. <br />S &EC shall provide the following deliverables to Client in association with the Services described above. <br />Item 1: S &EC will Drovide client with a report and maD describina the findinas. <br />Item 2: S &EC will provide client with a copy of the JD packet once submitted (if requested): <br />Item 3: S &EC will provide client with an email summary and updated sketch per the site <br />visit <br />Item 4: S &EC will Drovide client with a copy of aDDroved JD once it has received it. <br />(hereinafter "Deliverables ") <br />Deliverables - In connection with the performance of the Services, S &EC shall deliver to Client one or more reports or other documents <br />reflecting Services provided, the results of such Services or S &EC's evaluation of the results of such Services. All reports and documents <br />delivered to Client are instruments reflecting the Services provided by S &EC pursuant to this agreement and made available for Client's use. All <br />such reports, written documents, original data gathered by S &EC and work papers produced by S &EC in the performance of the Services <br />(collectively, "Work Product ") are, and shall remain, the sole and exclusive property of S &EC. The Services, and any data, recommendations, <br />proposals, reports, design criteria, and similar information provided by S &EC to Client pursuant to this Agreement are provided for the exclusive <br />use of the Client on the Project and for purposes intended by Client and disclosed to S &EC as the purpose for requesting the Work and are not to <br />be used or relied upon by third parties without the permission of S &EC. <br />FEES. <br />The following fees are associated with the Services and Deliverables described above. <br />Item 1: $1,200; Item 2: $500; Item 3:$500 Item 4: $350; (hereinafter "Fees") <br />S &EC Contact Name Steven Ball <br />Project Number <br />Project Name Tilley Property Date 2/13/18 <br />
