A conflict of interest may also exist if the dernands of <br />any outside activities distract you from the performance of your job or cause you to use CNC / <br />Access, Inc. resources for other than CNC / Access, Inc. purposes. An employee's obligation to <br />conduct CNC / Access, Inc.'s business in an honest and ethical manner includes the ethical <br />handling of actual or apparent conflicts of interest between personal and professional <br />relationships. You must remain free of conflicts of interest for the proper performance of your <br />responsibilities. <br />Before making any investment, accepting any position or benefits, participating in any <br />transaction or business arrangement or othettivise acting in a manner that creates or appears to <br />create a conflict of interest, an employee must make full disclosure of all facts and circumstances <br />to the legal Department, and obtain the prior written approval of General Counsel.
