to take corrective action regarding deficiencies, except that reasonable time need not be <br />given where there is a suspicion of criminal conduct or gross misconduct and specific <br />deficiencies need not be identified where the matter has been referred to an investigatory <br />or prosecutorial agency. <br />The failure of the LA to discover or notify the Contractor of deficiencies does not relieve <br />the Contractor of its obligation to meet performance standards, maintain sound <br />administrative and fiscal management, and assure equitable personnel and contractual <br />requirements. COMPLAINTS AND HEARINGS: <br />The Contractor shall have a complaint and hearing procedure for complaints and <br />grievances by its employees, participants and third parties, including disappointed <br />prospective subcontractors. The procedure may involve investigations by the Contractor <br />and shall result in a written determination by the Contractor. <br />The LA shall have a complaint and hearing procedure for complaints and grievances <br />arising between Contractor and the LA and for appeal of certain complaints and <br />grievances as described in the preceding paragraph. As to complaints and appeals <br />governed by this paragraph, the LA shall have the authority to investigate and make <br />findings, determinations and orders, including orders imposing corrective conditions and <br />ordering sanctions, after the opportunity for a hearing. Where permitted under this <br />Contract or by law, sanctions or conditions may be imposed prior to an oral hearing in an <br />emergency situation. Orders of the LA may be appealed, where permissible, to the State, <br />USDOI, or to the courts. <br />The complaint and hearings procedures hereunder will comply with the Act and with <br />State law. <br />22. PREVENTION OF CONFLICTING INTEREST: <br />A. Interest of Contractor: <br />The Contractor covenants that neither the Contractor nor its agents or current <br />employees has an interest, nor shall acquire an interest, direct or indirect, which <br />conflicts in any manner or degree with the performance of its service hereunder, or <br />which would prevent, or tend to prevent, the satisfactory performance of the <br />Regional Partnership Workforce Development Board <br />(Rev. 6/7/17) Page 10 <br />
