Any notice, demand, request, statement, or other writing <br /> required or permitted by this Agreement shall be deemed to have been sufficiently <br /> given either when personally delivered, transmitted by facsimile and <br /> acknowledged as received, or mailed by any carrier providing a receipt. Changes <br /> in any of the above contact personnel for any Party must be made in writing. <br /> 11. In providing any Proprietary Information hereunder, the providing party makes no <br /> representation, express or implied, as to its adequacy, sufficiency, or freedom <br /> from defect of any kind. <br /> 12. The protection, rights, and obligations of this Agreement shall expire two (2) <br /> years from the termination date hereof This Agreement may be terminated by the <br /> Parties at any time giving thirty (30) days written notification of termination to <br /> the other party. Notwithstanding such expiration or termination, the Parties' <br /> obligations with respect to the protection of Proprietary Information disclosed <br /> shall survive for a period of three (3) years from the termination date of this <br /> agreement, or the effective date written notification to terminate the Agreement <br /> was provided. The obligations with respect to the protection of Proprietary <br /> Information marked or otherwise identified as a trade secret shall be for so long as <br /> such trade secret Proprietary Information remains secret and confidential. <br /> 13. Each party shall bear all costs and expenses incurred by it in complying with this <br /> Non-Disclosure Agreement.
