<br /> the reuse of documents. EA does not warrant or represent our construction documents or other
<br /> documents to be infallible. EA shall prepare our documents and perform our services in accordance
<br /> with the standard of care for professionals performing the same or similar services. In no event shall EA
<br /> be liable for any indirect, consequential, or special damages of any kind, including, but not limited to,
<br /> loss of use or loss of profit.
<br /> Project Schedule: Should EA discern that the schedule will not be met for any reason, EA shall so notify
<br /> the Client as soon as practically possible. EA is not responsible for delays caused by factors beyond EA's
<br /> reasonable control, including, but not limited to, delays because of strikes, lockouts,work slowdowns or
<br /> stoppages, accidents, acts of God, failure of any governmental or other regulatory authority to act in a
<br /> timely manner, or failure of Client to furnish timely information or approve or disapprove EA's services
<br /> or work product promptly.
<br /> Limitation of Liability: In recognition of the relative risks, rewards, and benefits of the project to both
<br /> the Client and EA,the risks have been allocated so that the Client agrees that,to the fullest extent
<br /> permitted by law, EA's total liability, in the aggregate, to the Client for injuries, claims, losses, expenses,
<br /> damages, or claim expenses resulting from, or in any way related to, this agreement,from any cause or
<br /> causes, shall not exceed the total amount of$50,000. Such causes include, but are not limited to, EA's
<br /> negligence, errors, omissions, strict liability, breach of contract, or breach of warranty. The Client
<br /> further agrees to indemnify and hold harmless EA for risks which are beyond the control of EA.
<br /> Dispute Resolution: In an effort to resolve any conflicts that arise during the design or construction of
<br /> the project or following the completion of the project,the Client and EA agree that disputes between
<br /> them arising out of, or relating to,this Agreement shall be submitted to mediation prior to any litigation.
<br /> The parties agree to share the cost of the mediator's fee equally and that such mediation shall be in held
<br /> in or near Orange County, North Carolina.
<br /> Governing Laws: In the event that any court holds any part of this document invalid,the remainder of
<br /> the Agreement shall remain in full force and effect. The laws of the State of North Carolina shall govern
<br /> this document.
<br /> Authorization: Signatures of the Authorized Client representative and EA constitute agreement to the
<br /> above terms and conditions and authorizes EA to proceed.The Client agrees to honor invoices when
<br /> properly documented and presented for payment by EA.
