J <br />Section 2.1; Rent. The Friends would begin making <br />Payments for rent directly to the Landlord. Based on <br />the rent schedule as it was approved by the Board in May, <br />1991, the County's share (which would be paid to the Friends) <br />would be as follows: <br />Years 2 -3; $48,816 /annum; $4,068 /month <br />Year 4; $56,448 /annum; $4,704 /month <br />Year 5; $59,496 /annum; $4,958 /month <br />Section 5.2; The County is currently responsible <br />for routine maintenance and repairs to HVAC system through <br />its Public Works Department. The Friends would assume that <br />responsibility with a cost not to exceed $5,000 per year. <br />Section 8.5; Tenant's Insurance. The Friends would <br />be responsible for providing the following insurance <br />coverages: <br />a. Comprehensive General Liability insurance with <br />a minimum of $1,000,000 coverage. (This insurance would <br />cover the Friends if someone, other than an employee, were <br />injured at the Center as a result of the Friend's negligence. <br />For example, if their janitor were mopping the floor and did <br />not post "wet floor" signs and a person fell and injured <br />themselves, if a claim were brought the Friends would likely <br />be deemed negligent.) <br />The Friends also have some liability exposure through any <br />subleases they execute. Liability issues and the provision <br />of liability insurance by the Friend's sublessees should be <br />addressed by whatever agreement is struck between them. <br />Since the County is the Tenant of record, we assume.liability <br />as a result of these subleases as well. If liability <br />insurance is presented by any sublessees, such coverage <br />should have both the County and the Friends as named <br />insureds. <br />b. Comprehensive property damage insurance in <br />amount not less than $100,000. This would repair the <br />Landlord's property in the event of damage as a result of <br />negligence on the part of the Friends. For example, if a <br />fire started as a result of a stove burner being left on in <br />the kitchen area. <br />Chapel Hill Senior Center <br />Page 2 <br />
