10 <br />25. Assignability. The Agency shall not assign or transfer <br />all or any portion of its interest in this Agreement <br />without the prior written approval of COG. <br />26. Licenses and Permits. Agency shall maintain all required <br />licenses, permits, bonds, and insurance required for <br />carrying out the services in Schedule I and also <br />described in the Service Attachment Forms I - III. The <br />Agency shall notify COG immediately if any required <br />licenses or other permits are canceled, suspended, or <br />otherwise made ineffective. Failure to maintain proper <br />licenses, permits, bonds and insurance shall be a basis <br />for COG disallowing all or part of payments under this <br />Contract or for termination of this agreement for cause. <br />27. Indemnity. The Agency agrees to indemnify and save <br />harmless the COG, its agents and employees from and <br />against any and all loss, cost, damages, expense and <br />liability caused by the failure of the Agency to fully <br />perform its obligations under this agreement and in <br />accordance with its terms; or by an accident or other <br />occurrence causing bodily injury, including death, <br />sickness and disease to any person; or damage or <br />destruction to property, real or personal, which may <br />arise from operations, products or services rendered <br />under this Agreement. <br />Certificates of Insurance reflecting such coverage must <br />be furnished to the COG and shall contain the provision <br />that the COG be given thirty days written notice of any <br />intent to amend or terminate such policies by either the <br />Agency or the insuring company. <br />28. Disputes. Any disputes which arise in the interpretation <br />of this Agreement shall be resolved in the following <br />manner: <br />a) A letter must be written to the Executive Director <br />of the COG stating the specific nature of the <br />complaint, and requesting a hearing. Upon receiving <br />the letter of complaint, the Executive Director, <br />will forward a copy of such letter to the Chairman <br />of the COG Board, the Chairman of the appropriate <br />advisory committee, and the staff person responsible <br />for that particular program area. <br />b) The Executive Director of the COG will hold a <br />consultation with the person /organization filing the <br />complaint. The person/ organization will be allowed <br />sufficient time to present the case and will be <br />requested to answer questions. <br />C) If a hearing is still desired, a meeting of the <br />Aging Advisory Committee will be held upon written <br />request stating the specific nature of the complaint <br />from the person /organization filing a complaint. <br />
