r' <br />a <br />ORANGE COUNTY <br />and <br />TRIANGLE J COUNCIL OF GOVERNMENTS <br />CONTRACT FOR FY93 AGING SERVICES <br />The Triangle J Council of Governments (hereinafter referred to <br />as "COG") and Orange County (hereinafter referred to as <br />"Contractor" or Agency ") in consideration of the mutual covenants <br />and promises contained in this Contract for Aging Services, agree <br />as follows: <br />WITNESSETH THAT: <br />WHEREAS, COG desires to engage the Agency to render certain <br />services for the older population (hereinafter described in <br />connection with an undertaking or project and referred to as the <br />"Project ") financed in part by Title III of the Older Americans Act <br />grant funds provided to COG from the United States Department of <br />Health and Human Service through the N.C. Division of Aging <br />(hereinafter, along with the appropriate auditing agency of the <br />entity making such grant, referred to as the "Concerned Funding <br />Agency or Agencies "); and /or state appropriations for aging <br />services made available through the Concerned Funding Agency, and <br />WHEREAS, the Agency desires to render such services in <br />connection with the Project: <br />NOW THEREFORE, in consideration of the premises, and the <br />mutual covenants and agreements hereinafter contained, the parties <br />hereto agree as follows: <br />1. <br />Employment of the Agency. COG hereby agrees to engage <br />the Agency and the Agency hereby agrees to perform the <br />services hereinafter set forth in accordance with the <br />terms and conditions contained herein. <br />2. Local Support. In accepting this contract providing for <br />federal and /or state funds, the Agency agrees to provide <br />acceptable matching cash and /or acceptable in -kind <br />contributions. <br />3. Scope of Services. The Agency shall do, perform and <br />carry out in a satisfactory and proper manner the work <br />and services listed in Schedule 1 and also described in <br />Service Attachment Forms I - III. Priority should be <br />given to providing service to older adults in greatest <br />economic /social need, especially low income minorities. <br />4. Time of Performance. The services of the Agency are to <br />commence no later than fifteen (15) days after the <br />execution of this Contract and shall be undertaken and <br />
