the execution of this Agreement. The parties expressly agree that <br />this written Agreement, including exhibits, is the sole, complete <br />and exclusive statement of the terms of the parties' agreement, and <br />that no other negotiations, representations, understandings, or <br />agreements exist, except as may appear herein. Furthermore, the <br />parties agree that this written Agreement is the sole agreement and <br />is. exclusive of any course of performance, course of dealing or <br />usage of trade. <br />6.09 GOVERNING LAW. The legal effect and consequence of this <br />Agreement shall be determined under the laws of the State of North <br />Carolina. <br />6.10 TIME OF ESSENCE. The parties agree that time is of the <br />strictest essence of this Agreement. <br />6.11 SEVERABILITY.
