Furthermore, the <br />parties agree that this written Agreement is the sole agreement and <br />is exclusive of any course of performance, course of dealing or <br />usage of trade. <br />6.09 GOVERNING LAW. The legal effect and consequence of this <br />Agreement shall be determined under the laws of the State of North <br />Carolina. <br />6.10 TDM OF ESSENCE. The parties agree that time is of the <br />strictest essence of this Agreement. <br />5.11 SEVERABILITX.
