��+�� :tnu C4hll1 <br />�, r, ,k, y <br />8 <br />sublease agreement shall be subject to &I, of the, terms, conditions <br />and Covenants contained in this Agreement and the sublease, to be <br />effective, must so provide, and provided further that no sublease <br />shall be effective without the express written consent of Lessor, <br />which Lessor may withhold for any legitimate reason; and provided <br />further that Lessee shall remain individually and primarily liable <br />for the performance of this Agreement notwithstanding any sublease. <br />(b) Lessee shall not assign or attempt to assign <br />this Agreement, and Losses agrees and acknowledges that any attempt <br />to do so shall be voidable at Lessors option. <br />IIl. <br />2K 3 UMINGS <br />3.01 UNDERTAKINGS OF LESSOR. <br />(a) 1L`tiliti Lessor shall provide for connections to <br />furnish electric and telephone service to the premises, as well as <br />adequate sprinkling systems. Lessor shall, maintain the heating, <br />ventilating and air conditioning systems which serve the Premises. <br />(b) Repair and MA.int9_0 nce. Lessor shall, during the term of <br />this Agreement, have no repair or Maintenance responsibility for <br />the Premises except for the following: roof and load - bearing <br />structures of the building; all water, sewer, electric, telephone, <br />and heating, ventilating, air conditioning and sprinkling systems <br />up to the point at which they connect with the premises; and those <br />responsibilities specified in paragraph 4.03. However, nothing in <br />this Agreement, shall preclude or prevent Lessor from making the <br />repairs or performing the maintenance required of Lessee in <br />-6- <br />0 <br />
