7 <br />ACCEPTANCE BY WARNER CABLE COMMUNICATIONS INC, <br />QE CAME VISION FRANCHISE DRANOE MUM <br />Warner Cable Communications Inc., a Delaware corporation and subsidiary of <br />Time Warner, Inc,, ( "Warner Cable "), effective as of the date written below accepts and <br />agrees to be bound by the cable television franchise (the "Franchise ") from Orange <br />County, North Carolina, as set forth in the Ordinance adopted by the Orange County <br />Board of County Commissioners entitled "An Ordinance Granting A Franchise To <br />Village Cable Of Orange County, Inc, To Construct And Maintain A Cable Television <br />System Within The Unincorporated Areas Of Orange County, North Carolina" as <br />amended and subsequently transferred with County approval to Prime Cable Income <br />Partners, L.P., and subsequently amended by ah Ordinance entitled "An Ordinance <br />Amending A Franchise To Prime Cable Income Partners L.P." adopted on June 16, <br />1987, and approved on second reading on July 6, 1987, and as further amended' by an <br />Ordinance entitled "Ordinance Amending A Franchise To Cablevision Of Durham, Inc. <br />To Construct And Maintain A Cable Television System Within The Unincorporated <br />Areas Of Orange County, North Carolina," adopted March 24, 1992. By Resolution <br />passed on March 24, 1992, .the Board of Commissioners of Orange County approved the <br />transfer of the Franchise from Prime Cable Income Partners L.F. d/b /a Carolina Cable <br />to Cablevision of Durham, Inc., American Television & Communications Corporation <br />(" ATC'), or any affiliated entity under the control of ATC's parent corporation, Time <br />Warner, Inc, <br />With its acceptance of the Franchise, Warner Cable acknowledges and accepts its <br />obligation to pay the franchise privilege tax to Orange County at the rate of Five <br />Percent (5 %) per year effective January 1, 1992. <br />
