3 <br />COUNTY OF ORANGE <br />AGREEMENT AND <br />STATE OF NORTH .CAROLINA RUZAR OF CLAMS <br />THIS SETTLEMENT AGREEMENT AND RELEASE OF CLAIMS is made <br />and entered into the 2 4th day of Apr i 1 , 1992, by and between PRIME <br />CABLE INCOME PARTNERS, L.P., a Delaware limited',partnership doing business in <br />Orange County, North Carolina as Carolina Cable ( "Prime ") and ORANGE COUNTY, <br />I <br />NORTH CAROLINA, a political subdivision of the State of North Carolina (the . <br />"County "). <br />II <br />WHEREAS, Prime owns and operates a cable tele ision system in Orange <br />County, North Carolina pursuant to a franchise granted by the County (the <br />"Franchise "); and <br />WHEREAS, the terms of he Franchise require Prime to pay a percentage of its <br />gross revenues to the County as a tax for the privilege of rating a cable television <br />system in the County (the "francl l se fees "); and <br />WHEREAS, a dispute has; arisen between Prime and the County concerning the <br />percentage of franchise fees to b paid by Prime and the amount owed to the County; <br />and <br />WHEREAS, Prime has requested approval from the County to transfer the <br />Franchise to American Television & Communications Corporation ( "ATC") and such <br />request is pending approval from :the Board of County Commissioners; and <br />WHEREAS, the parties hove agreed to resolve the dispute on the terms and <br />i <br />conditions set forth in this Agree pent; <br />
