franchise held by Prime in Orange County or the Orange County Cable <br />Television System Ordinance, except for the obligations contained in this <br />Agreement. <br />(b) Release M Prune. Prime, for itself, its officers, directors, trustees, <br />shareholders, partners, representatives, heirs, successors, and assigns, does hereby <br />forever discharge and release the County, its officers, representatives, employees, <br />agents, successors, and assigns, from any and all claims, lawsuits, liabilities, <br />demands, actions, or causes of action of any kind or character whatsoever, <br />whether at law or equity, whether known or unknown, which Prime had, may <br />have ever had, now have or may now have arising out of or on account of the <br />payment or nonpayment of franchise fees arising out of the cable television <br />franchise held by Prime in Orange County or the Orange County Cable <br />Television System Ordinance. <br />5. Transfer A roval As Condition Of A eement. This Agreement and the <br />obligations contained herein are expressly conditioned upon approval by the County of <br />the pending request by Prime to transfer its Franchise to ATC. Prime agrees to pay the <br />amount due under this Agreement to the County within thirty (30) days of the approval <br />of the transfer of the Franchise. In the event that the transfer request is not approved <br />by the County, this Agreement shall be null and void and shall be without prejudice or <br />effect whatsoever on the rights or responsibilities of the parties under the Franchise. <br />3 <br />
