COUNTY OF ORANGE <br />STATE OF NORTH CAROLINA <br />SHITLEMENT AGREEIVESNT AND <br />RELEASE OF CLAIMS <br />THIS SETTLEMENT AGREEMENT AND RELEASE OF CLAIMS is made <br />and entered into the 2 4 t h day of Ap r i 1 , 1992, by and between PRIME <br />CABLE INCOME PARTNERS, L.P., a Delaware limited partnership doing business in <br />Orange County, North Carolina as Carolina Cable ( "Prime ") and ORANGE COUNTY, <br />NORTH CAROLINA, a political subdivision of the State of North Carolina (the <br />"County"). <br />WHEREAS, Prime owns and operates a cable television system in Orange <br />County, North Carolina pursuant to a franchise granted by the County (the <br />"Franchise "); and <br />WHEREAS, the terms of the Franchise require Prime to pay a percentage of its <br />gross revenues to the County as a tax for the privilege of operating a cable television <br />system in the County (the "franchise fees "); and <br />WHEREAS, a dispute has arisen between Prime and the County concerning the <br />percentage of franchise fees to be paid by Prime and the amount owed to the County; <br />and <br />WHEREAS, Prime has requested approval from the County to transfer the <br />Franchise to American Television & Communications Corporation ( "ATC") and such <br />request is pending approval from the Board of County Commissioners; and <br />WHEREAS, the parties have agreed to resolve the dispute on the terms and <br />conditions set forth in this Agreement; <br />
