The office of secretary <br />will be held by the Director of the Orange County Department <br />on Aging or another appointee of the County Manager. <br />2. Election <br />The chairperson and vice - chairperson shall be elected by <br />the Board for a term of one year at its first meeting in the <br />County fiscal year or until his /her successor shall be duly <br />elected and qualified. <br />3. Vacancies <br />Any vacancy in any office elected by the Board may be <br />filled by the Board for the unexpired portion of the term. <br />4. Chairperson <br />The chairperson shall preside at all meetings of the <br />Board and shall represent the Board in approved activities on <br />its behalf. <br />5. Vice - Chairperson <br />In the absence of the Chairperson, the Vice - Chairperson <br />shall perform the duties of the Chairperson. <br />6. Secretary <br />The Director of the Department on Aging as Secretary <br />shall: <br />(a) record and keep a file of the minutes of the board <br />meetings, <br />(b) see that all notices of meetings are duly given and, <br />(c) in general perform all duties incident to the <br />office of secretary. <br />
