K <br />STATE OF NORTH CAROLINA <br />COUNTY OF ORANGE <br />AGREEMENT BETWEEN <br />THE HILLHAVEN CORPORATION <br />AND <br />ORANGE COUNTY, NORTH CAROLINA <br />THIS AGREEMENT, made and entered into the 1st day of July, <br />1989, "by and between the Hillhaven Corporation, hereinafter <br />referred to as "THE CORPORATION" and Orange County, North <br />Carolina, hereinafter referred to as "THE COUNTY ". <br />WITNESSETH: <br />WHEREAS, THE CORPORATION has the need for non -- emergency, <br />medically necessary transportation (hereinafter referred to <br />as "transportation services ") for its patients; and <br />WHEREAS, THE COUNTY is licensed by the State of North <br />Carolina to provide, can provide and is willing to provide <br />transportation services; <br />NOW, THEREFORE, in consideration of the following mutual <br />promises, covenants and conditions, THE CORPORATION and THE <br />COUNTY agree as follows: <br />I <br />
