TERMS AND CONDI'T'IONS OF AGRE1:MENT HFTWEEN OWNER AND ARCHITECT
<br />ARTICLE 1
<br />ARCHITECT'S RESPONSIBILITIES
<br />1.1 ARCHITECT'S SERVICES
<br />1.1.1 The Architect's services consist of those services per-
<br />formed by the Architect, Architect's empinyecs and Architects
<br />consultants as enumerated in Articles 2 and i Of this Agreement
<br />and any other services included in Article 12.
<br />1.1.2 The Architect's services shall he performed as expedi-
<br />tiously as is consistent with professional skill and care and the
<br />Orderly progress of the Work.
<br />1.1.3 The servicca covered by this Agreement arc subject to
<br />the time limitations contained in subparagraph 1 1.5.1.
<br />ARTICLE 2
<br />SCOPE OF ARCHITECT'S BASIC SERVICES
<br />2.1 DEFINITION
<br />2.1,1. The Architect's Basic services consist of Ihosc dcscrilx•d
<br />Under the three phases indentified below, ally other services
<br />identified in Article 12, and include normal structural, ntc•cllani-
<br />cal and electrical engineering services.
<br />2.2 DESIGN PHASE
<br />2.2.1 The Architect shall review with the Ow ncr ;iltcrn :hive
<br />approaches to design and construction of the Proic•(.-t.
<br />2.2.2 Based On the Mutually agreed -upon program, schedule
<br />and construction budget requirements, flic Archile•ct shall
<br />prepare, for approc ;d by the• Owner, Design 1)ncuntc,]is con-
<br />sisting of drawings and other documents appiopri;iic for tilt:
<br />Proicct, and shall submit to the Owner a prclimitrn•y estimate of
<br />Construction Cost.
<br />2.3 CONSTRUCTION DOCUMENTS PHASE
<br />2.3.1 Based on the approved Ihsign DOcun lei' Is, the Architect
<br />shall prepare, for approval by the Owner, Construction Docu-
<br />ments consisting of Drawing%and Specilicninns sctfing forth in
<br />detail the requirements for the construction Of the Project and
<br />shall advise the Owner of any adiustntcnls to previous
<br />preliminary estimlics of Construction Cost.
<br />2.3.2 The Architect shall assist the Owner in cnnnc•(liriit will)
<br />the Owner's reslxmsibility for tiling docuntcitts required for
<br />the approval of governmental authorities h;nving iurisdiction
<br />over the Project.
<br />2.3.3 I-IIIICFS I)rrn idcd in Article 12, the Architect, following
<br />the Owner's apprrty ;l Of the Construction Docunxnts and Of
<br />the latest prclintinary estimate of (:,n._,lntction (:rear, shall assist
<br />Ihr Owner in obtaining hills or negotiated proposals ;ind assist
<br />in awarding and preparing contracts for construction.
<br />2.4 CONSTRUCTION PHASE — ADMINISTRATION
<br />OF THE CONSTRUCTION CONTRACT
<br />2.4.1 The Architect's responsibility to provide Basic Services
<br />I or the Construction Phase under this Agreement commences
<br />with the award of the Contract for Con.stniction and terminates
<br />M the earlier of issuance to the ()weer of the final Certificate for
<br />1';tymcnt or 60 days after the date of -Substantial Completion of
<br />the Work,.unlcss extended under the terms of subparagraph
<br />l o.2.3
<br />2.4.2 The Architect Shall provide administration of the Con-
<br />tract for (, onstruction as set forth below and in the edition of
<br />AIA Document A201, General Conditions Of the Contract for
<br />Construction, current as of the date Of this Agreement.
<br />2.4.3 Duties, reslx)nsibilities and limitations of authority of the
<br />Architect shrill riot be restricted, modified or extended without

<br />withheld.
<br />2.4.4 The Architect shall be a representative of and shall advise

<br />2.4.5 The Architect shall visit the site at intervals appropriate

<br />with the progress and quality Of the Work completed and to

<br />2.4.6 The Architect sh ;dl not have control over Or charge of
<br />and shall not he reslxmsible for construction means, methods,
<br />tcc•hniqucs, 5Cglle11CCS or proccdUres, or for safety precautions
<br />mold programs in connection with the Work, since these arc
<br />solely the Contrac'tor's rc5ponsibilily tinder the Contract for

<br />Contractor, subcontractors, or their agents or employees, or of
