3 <br />shall in good faith, require or as the interest, needs and business <br />of Corporation and Employer shall require. Furthermore, Employee <br />shall have all duties, powers and authorities provided in the <br />Position Description attached as Exhibit A and the Bylaws of <br />Corporation attached as Exhibit B. <br />SECTION THREE <br />TERM OF EMPLOYMENT <br />The term of this agreement shall be a period of one year, <br />commencing January , 1991 and terminating January , 1992, <br />subject, however, to prior termination as hereinafter provided in <br />Sections Seven and Nine of this agreement. <br />SECTION FOUR <br />COMPENSATION OF EMPLOYEE <br />Employer shall pay Employee, and Employee shall accept from <br />Employer, in full payment for Employee's services hereunder, <br />compensation at the rate of Forty -Two Thousand Five Hundred Dollars <br />($42,500) per year (annum), payable every two weeks during the term <br />of this agreement. <br />For the purposes of compensation, Employee will be a contract <br />employee of Employer. Corporation shall reimburse Employer for all <br />of Employees costs associated with the-employment of Employee, <br />including any termination compensation as described herein, by <br />depositing <br />quarterly with the Finance Office of Employer <br />to cover the salary and benefits described in this agreement. <br />Quarterly payments shall be due and payable on January , 1991 <br />April 1, 1991, July 1, 1991 and September 1, 1991. <br />
