NORTH CAROLINA <br />ORANGE COUNTY <br />AGREEMENT <br />THIS AGREEMENT is entered into this day of _ <br />i?90 and by and between the Tow: of Chapel Hill, .. municjpa:. <br />corporation ( "The Tocsr") and Orange County, a body , njit:w <br />and corporate = "The Wownty "). <br />WHEREAS -', the County <br />present!; operates and maintains <br />compoter- Center Sp 'img var2:ur aunty depar.d�m�.y�,_ti <br />outWida agencies and wishes to continue making` its c i_nputs :.- <br />operations and service s available to the Town; and <br />WHEREAS; the Town desires to' purchase certain ne: esharm <br />computer services from the County; <br />NOW THEREFORE: in consideration of the premises and the <br />mutual promises set forth below: the parties agree that: for <br />• fee ;Section 12); the County snail provide 24—:`your: 7 day <br />• week comp'ute'r services to the Town, including equipment: <br />hardware and soktware maintenance, required opeTato <br />training and software programs along with required <br />communications linkage, all to be provided in accordance <br />with the following terms, conditions, and sp ecificatior,_ <br />4. The County shall provide the Town with the <br />following equipment- <br />A. 17 Mainframe Ports <br />B. it Data processing terminals <br />C. 1 High spud line printer <br />D. 3. .Slow speed printer (s) <br />E. 2 In Channel multiplexers (Towns Hall) <br />F- 2 56K Baud modems <br />G. 2 4 Channel Multiplexers (Police) <br />H. 2 9600 Baud modems <br />1. 2 Line drivers (PW) <br />J. 2 8 Channel multiplexers(Housing) <br />K. 2 4800 Baud modems <br />r <br />2 The Town may add additional equipment by yp <br />addendum to this agreement (Section 15). The fixed f.s.�- <br />shall be prorated based on actual start date for the <br />equipment; the additional charges will be based on SecKot�s' <br />12. The County shall not nbe required to purchase mpre <br />equipment, supplies, cables, etc than the Town pays for the <br />first year of service =or any new parts or requested service <br />or equipment. Ownership of equipment purchased pursuant to <br />this agreement shall regain in Orange County. <br />3. The County shall provide all equipment maintenance, <br />replacement or upgrade= at the same level as that provide- <br />for the other users of the Orange County Data Processing <br />Center- The Town shall be responsible for repair of and the <br />cost of repair and replacement to and the cost of <br />replacement to equipment damaged by the Town's negligent pr <br />abusive use of the equipment. <br />"`S <br />
