Ft <br />the Property. Notwithstanding the foregoing, the parties acknowledge <br />the Trust relationship described in this Agreement. <br />R. Entire Agreement. Except to the extent that this <br />Agreement incorporates by reference any other writings or other <br />documents, and except to the extent that this Agreement contemplates <br />the provision of documents and agreements which have not as of this <br />date been prepared, this Agreement and all the exhibits contain the <br />entire agreement between the parties in respect to the matters <br />discussed in this Agreement; and no oral representations, writings, or <br />other matters exchanged prior to the execution of this Agreement, <br />except those specifically referred to or incorporated in this <br />Agreement by reference, shall constitute any part of this Agreement. <br />Any and all prior agreements relating to the transaction described in <br />t <br />this Agreement are superceded in their entirety by this Agreement, <br />unless otherwise stated in this Agreement. <br />S. Attorney's Fees. Each party is liable for its own <br />attorney's fees incurred in the negotiation, drafting, and execution <br />of this Agreement. <br />T. Governing Law. This Agreement shall be governed by and <br />construed in accordance with North Carolina law. <br />U. Counterparts/Duplicate Originals. This Agreement may be <br />executed in counterparts and five duplicate originals, each of which <br />shall be deemed an original document and binding on the parties. <br />IN WITNESS WHEREOF, the parties have authorized this Agreement to <br />be signed under seal as of the day and year first above written. <br />- 44 - ' <br />
