M <br />agreement, lien, indenture, pledge, or other agreement(s) to which the <br />Town is a party or by which the Town or its property is bound; and <br />7. The Town has approved the Corporation's subdivision <br />application for the Property, and as of the date of this Agreement the <br />Corporation has met and is in compliance with all subdivision, <br />development, land use, and other related restrictions and ordinances. <br />G. Indemnity. The Corporation shall indemnify and hold <br />harmless the Town and its agents, officers, and employees from all <br />claims, actions, suits, and judgments arising out of and as a result <br />of any and all representations and activities of the Corporation <br />relating to its marketing of the Low- income Houses. <br />The Town agrees, to the fullest extent allowed by law, to <br />indemnify and hold harmless the Corporation and its agents, officers, <br />t <br />and employees from all claims, actions, suits, and judgments arising <br />out of or in connection with application of the Town's qualifications <br />selection criteria for Buyers of the Low- income Houses and /or <br />representations of the Tow.a and /or its agents, officers, and employees <br />in its marketing of the Low - income Houses. <br />H. Condemnation., If the whole or any part of a Low - income <br />House shall be condemned or taken under the power of eminent domain or <br />claim for damages, direct or consequential, or shall be sold by the <br />Town or a Buyer under threat of condemnation proceedings, then any <br />award or sale price for the taking or such sale of all or any part of <br />such Low -- income House which is made to the Town or distributed to the <br />Town by law or according to the terms of any Shared Equity Agreement <br />(except any said funds payable to the Town pursuant to the Loan <br />Documents, which payments are expressly excluded from the requirements <br />�kj= <br />
