termination and specifying the affective date thereof. The <br />CCG may elect to give a reasanable time within which to cure <br />or remedy such failure or violation. If within such <br />specified period the Agency shall cure or remedy auch <br />=ai l'1re or -r�olat..on .r s:�all ta:ce stecs _rom which _ . _s <br />apparent that such failure or violation will be <br />substantially cured or remedied within a weasonable time (as <br />determined by CCG; after such period, then this Contract <br />shall not be terminated. But if the Agency shall fail <br />within such specified period to cure or remedy the same or <br />take such steps as = oresaid, then this Contract shall be <br />deemed to have terminated effective at the end of the period <br />of such notice. If (b), for just cause, the Agency is unable <br />to perform the contractual service(s), the Agency shall have <br />the right to terminate the Contract with 15 days written <br />notice. <br />In the event of such termination, all finished or unfinished <br />documents and other materials collected or produced under <br />this Contract (as more fully described in paragraph 21 <br />hereof) shall, at the option of COG, become COG property <br />(subject to full accessibility thereto by the Agency) and <br />the Agency shall be entitled to receive just and equitable <br />compensation for any satisfactory work completed on such <br />documents and materials. Notwithstanding the foregoing, the <br />Agency shall not be relieved of any liability to COG for <br />damages sustained by COG by virtue of any breach of this <br />Contract by the Agency and COG may withhold any payments to <br />the Agency for the purpose of set -off for the damages caused <br />by the Agency's breach, until such time as the exact amount <br />of damages to CCG from the Agency is determined. <br />Agency shall have the right to immediately terminate this <br />Contract for cause. <br />34. Termination for Convenience. The COG may terminate this <br />Contract for the convenience of the COG a; any time by <br />giving ,written notice to the Agency of such termination and <br />specifying the date thereof, at least 15 days before --he <br />effective date of such termination. In that event, all <br />finished or unfinished documents and other materials <br />produced or collected shall, at the option of the COG, <br />become COG property. If this Contract is terminated by the <br />COG, as provided in this paragraph, the Agency will be paid <br />an amount equal to the budgeted AAA Rate multiplied by the <br />number of units actually provided during the Contract period <br />less payments of compensation previously made by the COG. <br />35. Termination for Lack of Funds. In the event of prospective <br />termination due to non - receipt of funds with which to carry <br />out the provisions of this Contract, the COG may terminate <br />this Contract by giving written notice to the Agency of such <br />termination and specifying the effective date of such <br />termination. In the event such written notice is given, all <br />finished or unfinished documents and other materials as <br />described in paragraph 21 above shall, at the option of COG, <br />become its property (subject to full accessibility thereto <br />
