28. Assignability. The Agency shall not assign or transfer all <br />or any portion of its interest in this Agreement without the <br />Prior written approval of COG. <br />29. Licenses and Permits. Agency shall maintain all required <br />licenses, permits, bonds, and insurance required for <br />carrying out the services in Scope. of Services. The Agency <br />shall notify COG immediately if any required licenses or <br />other permits are canceled, suspended, or otherwise made <br />ineffective. Failure to maintain proper licenses, permits, <br />bonds and insurance shall be a basis for COG disallowing all <br />or part of payments under this Contract or for termination <br />of this agreement for cause. <br />30. Indemnity. The Agency agrees to indemnify and save harmless <br />the COG, its agents and employees from and against any and <br />all loss, cost, damages, expense and liability caused by the <br />failure of the Agency to fully perform its obligations under <br />this agreement and in accordance with its terms; or by an <br />accident or other occurrence causing bodily injury, <br />including death, sickness and disease to any person; or <br />damage or destruction to property, real or personal, which <br />may arise from operations, products or services rendered <br />under this Agreement. <br />Certificates of Insurance reflecting such coverage must be <br />furnished to the COG and shall contain the provision that <br />the COG be given thirty days written notice of any intent to <br />amend or terminate such policies by either the Agency or the <br />insuring company. <br />31. Insurance. If Agency uses vehicle in fulfilling its duties <br />under this Agreement, Agency shall also provide evidence of <br />automobile insurance in the minimum amount of twenty -five <br />thousand /fifty thousand dollars ($25,000/$50,000) bodily <br />injury liability insurance and fifty thousand dollars <br />($50,000) property insurance. Failure to provide evidence <br />of insurance shall be deemed an automatic violation of this <br />Agreement and could therefore lead to termination of the <br />Agreement by COG. <br />32. Disputes. Any disputes which arise in the interpretation of <br />this Agreement shall be resolved in the following manner: <br />a) A letter must be written to the Executive Director of <br />the COG stating the specific nature of the complaint, <br />and requesting a hearing. Upon receiving the letter of <br />complaint, the Executive Director, will forward a copy <br />of such letter to the Chairman of the COG Board, the <br />Chairman of the appropriate advisory committee, and the <br />staff person responsible for that particular program <br />area. <br />b) The Executive Director of the COG will hold a <br />consultation with the person /organization filing the <br />complaint.
