under :he terms of this Contract, with the <br />understanding that no personal information <br />obtained from any individual will be disclosed by <br />COG in a form which allows identification of the <br />individual, without the written consent of t_ ^.e <br />individual. It is understood and agreed that the <br />report procedures established by COG may also <br />include actual costs incurred per unit of service <br />including both COG costs and Agency contributions. <br />d) Reprogramming of Funds. It is understood and <br />agreed that, in the event that the amount of funds <br />received from the Concerned Funding Agency is <br />reduced, COG may, id turn, decrease the total <br />compensation and reimbursement to be paid <br />hereunder and require corresponding changes in the <br />Scope of Services. <br />it is further understood and agreed that, in the <br />event at the end of each quarter, the Agency's <br />rate of progress on this Contract is leading to <br />underspending at the end of the Contract period, <br />due to inability to provide services at planned <br />levels, COG may decrease the total compensation <br />and reimbursement to be paid hereunder in order to <br />allocate funds to other contracts and services. <br />e) Change of Unit Cost Reimbursement Rates. COG may <br />renegotiate the reimbursement rates as set forth <br />in Scope of Services. The parties agree that COG <br />will consider increasing the reimbursement rate <br />only under two circumstances: <br />(a) Upon a showing by Agency that actual costs <br />have increased due to factors beyond Agency's <br />control; or <br />(b) Upon a showing by Agency that actual costs <br />have increased due to sudden increase in <br />client load (i.e. due to a disaster event). <br />The parties further agree that COG shall have the <br />right to decrease the reimbursement rate under any <br />circumstances which show the actual costs are less <br />than projected; including, but not limited to, <br />circumstances in which: <br />(c) Overall costs of providing service are shown <br />to be less than forecast in the Agency's <br />original bid for service; or <br />(d) The Agency fails to document the required <br />local match such that the COG reimbursement <br />rate exceeds the percent of total service <br />costs as indicated in Scope of Services. <br />
