<br />EXPORT: ESR.I Softwats, Related Mat4rWs, and the related installation and training services have been determined to be Technical Data under united
<br />States Export Regulations. Ti,e export of such Teehnnial Data is strictly eoetrolled. and you agree that you will comply with all laws, rules. and
<br />regulations of the United Stave in regard to say export or atovement of such Technical Data of which You become aware. You Agree to notify FSRI
<br />within one week should yen bas: me aware of the export of any ESRI Technical Data, either fmm the audionzad delivery destination or to any restricted
<br />country.
<br />You agree not to export the ESRI Licensed Software, Related Materials, and/or the related services loco a country whits does not have copyright laws
<br />that will pttxea E5RTs send others' proprietary ruts.. This provision shall survive termination of this Agreement for any Mama whatsoever.
<br />You agree not to disclose or re-export the tesfnnial data received under this License in or to the oormtries below widx u prior written authorization
<br />from ESRI and the U.S. Department of Commerce:
<br />Afghanistan, Albania, Bulgaria, Cambodia, Cuba. Czechoslovakia. Estonia, German Democrade Republic, Hungary, Laos, Latvia, Libya,
<br />Lithuania, Mongolian People's Republic, Namibia, North Korea, People's
<br />Soviet Socialist Republics. and Vietnam. Repuhlie of China. Poland, Romania, South Africa, Union Of
<br />INDEMNITY: ESRI. at its own =pen . will indemnify you from an infringement or other property claim arising under the scope of this License
<br />provided:
<br />You immediately notify ESRI of such claim.
<br />The claim is not hued upon a modification of any progrun or the incorporation of a licensed program into a modified product or program.
<br />You have not breached any term or condition of this Agmernesnt.
<br />ESRI reserves the right to amtrol the defense of all such claims with your full cooperation.
<br />If ESRI believes a licensed program will became the subject of an infringement claim, ESRI, at its own expense, may either Obtain the right for you to
<br />continue using the program or modify the program to make it norunfrin&g.
<br />This atstes the enure liability Of ESRI with respect to infringement of the ticsmsed programs.
<br />U. as a result of any claim of infringement &gainst any patent, copyright, license or other property rigitt, Em is enjoined from using the licensed
<br />program, or if ESRI believes chat the Licensed program is likely to become the subject of a claim of infriengennert, ESRI at its, Option and expense may
<br />procure the right for the user to continue to use the Software, or replace or modify the Software to as to make it oorinfringing. The foregoing sous
<br />the entire liability of ESRI with respect to infringement of any copynghta, patents, licenses or other praperty r*u by the licensed prognm(s) or
<br />any pacts thereof.
<br />THIRD TARTY BENEFICIARY: ESRI is ausboriaed to disuribtute and license third parry's software ( proprietary property of Henoo Software, Inc.,
<br />Tektronix. Inc:.. and any other parry whose software may be provided under this license, all who are collectively Third Party Beneficiaries). Any Third
<br />Party Beneficiary may enforce all promises and obligations undertaken by you. including the right to resort to W remedies or other rights as are
<br />Afforded to ESRI under law, at equity, and under the terms of this license.
<br />LIMITATION OF LIABILITY: ESR1 shall not be liable for special, incidental or consequential damages reLted w your use of the equipment, Software
<br />and Related Materials, even if ESRI is advised at the possibility of such damage.
<br />GENERAL: This Agreement represents the entire understanding and agreehment regarding the Software, Software Copies, and Related Materials and
<br />supersedes any purchase order terms, aommtsoicatioea, advertising or representations.
<br />This license may be modified by an amestdetent Biped by the parties. If any provision of this Agreement shall be unlawful. void, or for any reason
<br />unenforceable, it shall be deemed severable from, and shall in no way affect the validity or enforceability of, the remaining provisions of this
<br />Agreement This Agreement will be governed by the lawn of the United States of America and the Stare of California.
<br />You acknowledge that Yost haves read every prntrWM of this Agmertteru and that you agree to be bourW by its terms.
