(aa) In Article 7 delete and strike out all original provisions of <br />all paragraphs of said Article and substitute in lieu thereof <br />as Article 7 of this agreement the following: <br />117.1 The Owner and Architect <br />provide written notification <br />litigation, concerning claims, <br />matters in question between the p, <br />arising out of or relating to <br />breach thereof." <br />agree to endeavor to <br />in advance of any <br />disputes, and other <br />arties to this agreement <br />this agreement or the <br />117.2 The parties agree to endeavor to negotiate in good <br />faith prior to litigation, concerning claims, disputes <br />and other matters in question arising out of or relating <br />to this agreement or the breach thereof." <br />117.3 Nothing herein contained shall be construed to <br />require the parties to provide written notification or <br />engage in negotiations prior to the institution of <br />litigation nor to submit for arbitration by a third party <br />or parties any such claim, dispute or other matter in <br />question between the parties, but the parties may be <br />mutual agreement submit any claim, dispute or other <br />matter at issue to arbitration in accordance with the <br />North Carolina Uniform Arbitration Act, GS 1 -567.1 et seq <br />or such other arbitration procedure as may be mutually <br />agreed upon between the parties. <br />(bb) In Article 10 amend paragraph 10.2.1 to read: "Reimbursable <br />expenses are in addition to compensation for basic and <br />additional services and they must be approved in advance and <br />in writing by the Owner. Reimbursable expenses include actual <br />expenses incurred by the Architect and Architect's employees <br />and consultants in the interest of the project, as identified <br />in the following clauses." <br />In Article 10 amend paragraph 10.2.1.2 by changing the <br />Period at the end of said paragraph to a comma and adding <br />the words: "excluding reproductions for the office use <br />of (1) the Architect, (2) the Architect's consultants, <br />and (3) the Owner.
