b) The remaining one thousand, two hundred sixty eight <br />dollars ($1,268) shall be paid immediately upon satisfactory <br />completion of the fireworks display called for under this <br />agreement. <br />c) If the Town cancels the fireworks display at any <br />time after it becomes obligated to pay the initial $1,268 payment <br />under subparagraph 2(a), the Town shall remain obligated for the <br />full $2,536 contract amount, but shall not be liable for any <br />other damages. <br />d) If Southern fails to provide the fireworks display <br />called for herein for any reason other than inclement weather <br />pursuant to subparagraph 2(e), Southern shall refund to the Town <br />by July 14, 1990 the $1,268 deposit provided for under <br />subparagraph 2(a). <br />e) Southern may cancel the fireworks display because <br />of inclement weather so long as this determination is made <br />reasonably and in good faith at the town hall site by Southern <br />personnel not earlier than 10:00 p.m. on July 4th. As indicated <br />above, if the display is canceled pursuant to this subparagraph, <br />Southern may retain the $1,268 deposit, but shall be entitled to <br />no further compensation. <br />Section 3. The Town shall also be responsible for <br />providing: <br />a) All necessary permits, licenses, and approvals <br />required for this display; and <br />b) A "safe zone" for the fireworks display, within <br />which no persons or personal property shall be allowed.
